Terms of Service

Last updated: 15 March 2026

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Taawonion — our websites, applications, and the cooperative management Platform we make available (collectively, the "Services"). By creating an account, accessing the Platform, or otherwise using the Services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you must not use the Services. We may update these Terms from time to time; the version posted on this page is the version that applies.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Services. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation, in which case "you" refers to that organisation.

You may not use the Services if doing so would violate any applicable law or regulation, including sanctions programs administered by the United Nations, the European Union, the United Kingdom, the United States, or any other relevant authority.

3. Account Registration

To access most features of the Platform, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information. We rely on the information you provide to operate the service. Outdated or incorrect information can break member records, billing, and statutory reporting.

Keep your information up to date. If any of your registration details change, update them in the Platform or notify us promptly.

Maintain the security of your credentials. You are responsible for safeguarding your password, two-factor authentication device, and any API keys issued to you. Notify us immediately if you suspect any unauthorised access to your account.

Each individual user must have their own account. Sharing login credentials across multiple people is prohibited because it undermines audit trails and undermines cooperative governance.

4. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

Violate any applicable law, regulation, or third-party right. This includes intellectual property, privacy, and anti-corruption laws.

Reverse engineer or attempt to extract the source code of the Platform, except to the extent expressly permitted by applicable law.

Interfere with or disrupt the integrity or performance of the Services or the data contained within them, including by attempting to bypass security measures, probe the system for vulnerabilities, or interfere with another customer's use of the Services.

Upload malicious content, including viruses, worms, ransomware, or any code designed to disrupt the Services or other systems.

Use the Services to harass, defame, or harm another person, or to publish material that is fraudulent, defamatory, obscene, or otherwise objectionable.

Use the Services to process the personal information of third parties without their knowledge and lawful basis for doing so.

We may suspend or terminate access to the Services for any user who breaches these Terms, subject to applicable law.

5. Subscriptions, Fees, and Billing

Some parts of the Services are provided on a paid subscription basis. By selecting a paid plan, you agree to pay the applicable subscription fees and any related taxes.

Billing cycles. Subscription fees are billed in advance for the relevant period (monthly or annually, depending on the plan you choose) and are non-refundable except where required by law.

Price changes. We may change subscription fees at any time, but we will give you at least 30 days notice before any change applies to you. If you do not agree to the change, you may cancel your subscription before the change takes effect.

Taxes. Subscription fees are exclusive of taxes, duties, and levies. You are responsible for paying all applicable taxes associated with your purchase, except for taxes on our income.

Late payment. If a payment is overdue, we may suspend or restrict your access to the Services until payment is received. We will give you reasonable notice before any such suspension.

Free trials. If you start with a free trial, we may begin charging subscription fees at the end of the trial unless you cancel before the trial ends.

6. Intellectual Property

The Services, including all underlying software, designs, text, graphics, logos, and trademarks, are and will remain the exclusive property of Taawonion and its licensors. Nothing in these Terms transfers ownership of any of these rights to you.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services in accordance with these Terms and any applicable service-specific terms. You may not sublicense, resell, or otherwise commercially exploit the Services without our written consent.

7. User Content

You retain ownership of any data, records, or content that you upload or create within the Platform ("User Content"). You grant Taawonion a worldwide, non-exclusive, royalty-free licence to use, host, store, reproduce, modify, and process User Content solely to operate the Services for you and your authorised users.

We will not access, use, or disclose your User Content except: (a) as required to operate the Services; (b) as you direct; (c) as required by law; or (d) as necessary to investigate violations of these Terms or to protect the safety, rights, or property of Taawonion, our customers, or third parties.

8. Prohibited Activities

In addition to the conduct described in Section 4, you agree not to:

Misrepresent your identity or impersonate any other person or entity.

Circumvent rate limits or other access-control mechanisms designed to protect the Services.

Use automated means to scrape, crawl, or otherwise extract data from the Services without our written permission.

Use the Services to facilitate money laundering, terrorism financing, sanctions evasion, or other illicit activity.

We report violations to relevant authorities where required.

9. Suspension and Termination

You may cancel your subscription at any time by following the in-product cancellation flow or contacting us. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your access to the Services if: (a) you breach these Terms; (b) your payment fails and is not resolved within a reasonable time; (c) we are required to do so by law; or (d) we discontinue the Services entirely. Where reasonable, we will give you advance notice of any suspension or termination.

On termination, we will provide you with a reasonable opportunity to export your User Content, unless we are prohibited from doing so by law. After a grace period, we may delete your User Content from active systems, although residual copies may persist in backups for a limited period as required by our data retention practices.

10. Disclaimers

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

Taawonion is not a regulated financial institution, legal advisor, or accounting firm. Any templates, sample reports, or compliance guidance provided through the Platform are informational aids only and do not constitute legal, tax, or financial advice. Cooperatives remain responsible for ensuring that their operations comply with applicable laws, including the Malaysian Co-operative Societies Act 1993 (or the equivalent in their jurisdiction).

11. Limitation of Liability

To the maximum extent permitted by law, Taawonion and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services, regardless of the legal theory.

Our total cumulative liability to you for all claims arising out of or related to the Services will not exceed the greater of (a) the amount you paid us for the Services in the 12 months preceding the claim, or (b) one hundred Malaysian ringgit (RM 100).

Some jurisdictions do not allow the limitation of certain damages; in those cases, the limitations above apply only to the maximum extent permitted by applicable law.

12. Indemnification

You agree to indemnify and hold Taawonion and its officers, directors, employees, and agents harmless from any claim, demand, loss, liability, damages, and expense (including reasonable legal fees) arising out of or in connection with your use of the Services, your User Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malaysia, without regard to its conflict-of-law principles. Any dispute arising out of or in connection with these Terms — including any question regarding its existence, validity, or termination — will be referred to and finally resolved by arbitration administered by the Asian International Arbitration Centre (AIAC) in accordance with its Arbitration Rules for the time being in force. The seat of arbitration will be Kuala Lumpur, the language will be English, and the tribunal will consist of one arbitrator.

Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction to protect its rights pending arbitration.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by a prominent notice within the Platform at least 30 days before the changes take effect, where required by law. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
